Lauren N. Schwimmer

Lauren N. Schwimmer is a shareholder in the firm’s Business Transactions Department and Business and M&A Practice Group. She also serves as the lead of the Real Estate and Land Use Practice Group.

Prior to joining Flaster Greenberg, Lauren developed proficiency in commercial and general civil litigation, banking law, and bankruptcy. This diverse background allows her to bring a practical, well-rounded perspective to her transactional work and contract review.

Lauren advises entrepreneurs, business owners, investors, and organizations throughout Southern New Jersey and the Greater Philadelphia region on complex corporate and real estate matters.

As a business transactions attorney, she works closely with clients, providing practical legal guidance that supports business growth and long-term success.

Lauren represents both emerging and established companies in business formation, corporate governance, ownership transitions, and strategic transactions, helping clients navigate important legal and operational decisions.

Her NJ and PA corporate practice includes advising businesses of all sizes on shareholder agreements, operating agreements, and buy-sell arrangements, as well as representing buyers and sellers in mergers and acquisitions and business sales. As a business attorney, Lauren guides clients through every stage of a transaction focusing on protecting her clients’ interests and achieving efficient, successful outcomes.

Commercial Real Estate Lawyer NJ and PA

Lauren also has significant experience in commercial real estate transactions throughout New Jersey and Pennsylvania, representing investors, developers, landlords, and tenants in the acquisition, financing, leasing, and disposition of commercial property. She regularly negotiates and drafts commercial lease agreements and advises clients on the legal considerations involved in leasing retail, office, industrial, and mixed-use properties across the region.

Outside General Counsel for Business Owners

Many of Lauren’s clients rely on her to serve as outside general counsel, providing ongoing legal support on vendor contracts, customer agreements, supplier relationships, employment agreements, and other operational matters. She is particularly passionate about partnering with business owners and leadership teams as a trusted legal advisor, helping organizations manage risk while pursuing strategic opportunities.

  • Represented a regional telecommunications provider in acquiring the assets of another telecom company to expand its geographic footprint.
  • Represented a software company and its owner in an asset sale requiring extensive negotiations with customers, vendors, and creditors.
  • Represented the purchaser of a manufacturing and distribution business, including associated real estate acquisition, multi-tiered bank financing, investor agreements, and equity rollover arrangements.
  • Represented a closely held manufacturing and HVAC company in the sale of stock to a private equity-backed strategic partner, including pre-closing restructuring and real estate leaseback arrangements.
  • Participated in a multidisciplinary team representing a Medicare benefit solutions provider in a private equity recapitalization involving complex M&A and tax planning.
  • Represented a newly formed wholesale agent/broker of pharmaceuticals entity in purchasing a brokerage agreement allowing it to become the exclusive broker of certain hemp derived cannabinoid active pharmaceutical ingredients.
  • Represented a supplier of marketing, promotional and organizational products in the sale of its assets to a larger marketing company in a strategic acquisition, including the continued employment of the principal.
  • Represented an importer and wholesale distributor of fine wines and craft beers in the purchase of the assets of another wholesale distributor.
  • Represented a buyer in purchasing the assets of a failed business, including all remaining inventory, customer lists and manufacturing contract.
  • Represented a business of sourcing, marketing, distributing and supplying fasteners and related assembly components, bolts, cable ties, hose clamps and other custom services in the sale of substantially all of its assets.
  • Represented two affiliated entities and its owner in the sale of substantially all the assets of their automobile parts business.
  • Represented a leading wholesale tire distributor in several states in the sale of its assets.
  • Represented a company that was an internet seller of cosmetic products in a sale to a private equity firm.
  • Represented a shipping company in the purchase of assets of an online mailing business and assignment of existing agreements with customers.

  • Represented the seller of an orthodontic practice in a stock purchase transaction, negotiating the purchase agreement, addressing healthcare regulatory issues, coordinating due diligence, and facilitating the seamless transfer of patient records and operations.
  • Represented the estate of a veterinary practice owner in the sale of a closely held practice and its real estate following the unexpected death of the principal, negotiating asset purchase and lease agreements while ensuring continuity of operations.
  • Represented medical practices in sales to major healthcare systems, including negotiation of asset purchase agreements and physician employment agreements.
