Danielle Py-Salas represents real estate investment firms, sponsors, developers, and corporate clients in complex commercial real estate and related corporate transactions. Drawing on experience in private practice, capital markets, and as a business founder, she brings a strategic, deal-focused perspective to every stage of the transaction lifecycle.
Danielle advises clients on acquisitions, dispositions, joint ventures, financing matters, and structured investments across a broad range of asset classes, including commercial, mixed-use, and affordable housing properties. She drafts and negotiates purchase and sale agreements, lease agreements, financing documents, joint venture agreements, membership interest purchase agreements (MIPAs), operating agreements, opinion letters, and ancillary closing documents.
She manages transactions from initial structuring and due diligence through closing and post-closing compliance, coordinating sponsors, lenders, investors, and title professionals to ensure efficient execution. A significant component of her practice involves comprehensive title and survey review. Danielle prepares and analyzes title commitments and policies, identifies potential risks, and advises clients on practical resolution strategies designed to protect investments and facilitate successful closings.
Danielle’s background includes substantial experience advising lenders, servicers, and investors in structured finance and commercial mortgage-backed securities (CMBS) transactions. She has managed defeasances, assumptions, assignments, and loan transfers within complex securitization structures, giving her a deep understanding of capital stack dynamics and lender requirements.
Earlier in her career, Danielle practiced in the real estate groups of national law firms, where she assisted with sophisticated, multi-party transactions and supported corporate finance and structured lending matters involving institutional clients and REIT-related investments.
In addition to her legal practice, Danielle is a licensed associate broker in Pennsylvania and New Jersey. She founded a multi-state real estate development and brokerage platform and, for more than a decade, led acquisitions, joint ventures, franchise and partnership negotiations, regulatory compliance, and operational governance across multiple entities. Her entrepreneurial experience provides her with firsthand insight into the commercial realities her clients face.
