REMINDER: All Pennsylvania businesses are now required to file an Annual Report with the Pennsylvania Department of State. This is a relatively new filing requirement that applies to corporations, LLCs, LLPs, and other registered entities. See full list of qualifying business entities below in addition to our earlier Notice on the requirement.
Pennsylvania businesses should verify that their Annual Report has been filed to maintain compliance.

New starting in 2025, most domestic and foreign entities in Pennsylvania are now required to submit an Annual Report with the Pennsylvania Department of State [DSCB:15-146]. This new requirement applies to most business entities that are formed or qualified to do business in Pennsylvania, including without limitation:
- business corporations
- nonprofit corporations
- limited liability partnerships
- electing partnerships that are not limited partnerships
- limited partnerships (including limited liability limited partnerships)
- limited liability companies
- professional associations
- business trusts
- registered foreign associations
The Annual Report requires the submission of the following information:
- Business name
- Jurisdiction of formation
- Registered office address
- Principal office address
- Name of at least one governing individual (i.e., director, member, partner, etc., depending on entity type)
- Names and titles of principal officers, if applicable
- Entity number issued by the Pennsylvania Department of State
The filing fee is $7; non-profit corporations and LPs/LLCs with a not-for-profit purpose are exempt from paying the filing fee.
