Few standard contractual provisions have caused more confusion and heartburn than the dreaded waiver of subrogation. Familiarize yourself with such stipulations—as well as contractual insurance requirements and indemnity provisions—found in virtually all vendor contracts, commercial leases and other commercial agreements. Review what they do and how they work. Learn how to partner with counsel to ensure insurance placement and compliance, potentially through specific endorsements. Explore how the waiver of subrogation interfaces with insurance and other risk-shifting provisions. Get to know what should happen between your insurance, the contracting party, its insurance and third parties in the event of loss or liability. Conflicts of Law and Your Insurance Claim: Don’t Get Caught Sleeping and Risk Losing Coverage

As the go-to person when an insurance claim arises, you need to be able to spot when more than one state’s law may apply because finding out too late could lead to a loss of valuable coverage. Explore conflicting outcomes for coverage issues among state courts due to vastly different insurance policy language interpretation. Follow how coverage may suddenly depend not just on the policy language or facts. Be prepared for insurers that race to a specific state courthouse where the law is most likely to support coverage denial. Discuss how to avoid the potentially costly results of the insurer choosing the court before the policyholder.
