William S. Skinner concentrates his practice in business and financial matters. He represents clients in the acquisition and sale of businesses, complex debt and equity financing transactions, and securities offerings. His clients include developers of affordable housing, adult residential communities, and other residential and commercial real estate as well as investors, trade organizations, and commercial enterprises in other industries.
In the alternative energy field, Mr. Skinner has represented developers, owners, municipalities and manufacturers in procurement, financing and energy sales in alternative energy projects and technologies.
Mr. Skinner has spoken on “Federal and State Securities Issues in Private Offerings,” as well as “Legal Aspects of New Jersey Limited Liability Companies,” presented to the New Jersey Society of Certified Public Accountants.
Representative Matters
- Represented an international pharmaceutical company in a highly competitive Section 363 auction sale process leading to the $450,000,000 acquisition of Graceway Pharmaceuticals, LLC by another party, under the supervision of the United States Bankruptcy Court for the District of Delaware
- $30 million tax credit, state and state agency funding, and commercial financing in recent affordable housing projects
- $18 million land acquisition and construction loan for New Jersey residential developer
- New Jersey law corporation law counsel to $435 million public company cash out merger transactions, April 2010
- New construction affordable housing LIHTC financing, 140 units
- Two recent “year 16” resyndication projects for Low Income Housing Tax Credit projects of 400 and 200 units
- New Jersey corporation law counsel to $90 million public company cash-out merger transaction, December 2010
- Sale of cellular telephone operating companies in multiple transactions involving aggregate purchase prices of $100 million
- Sale of minority interests in cable TV operators
- Negotiations with the New Jersey Department of Banking and Insurance, leading to first-ever discretionary regulatory exemption for 8,000 member organization’s health benefits plan
- $13 million nonrecourse financing of closely-held shopping centers
- Remediation of groundwater contamination and sale of large neighborhood shopping center
