Cherry Hill, NJ

A free seminar for entrepreneurs and business owners titled "Raising Money for Your Business and Negotiating with Investors" will be presented on Tuesday, November 11, 2008 from 11:30 a.m. to 1:30 p.m. in Flaster/Greenberg's Conference Center, located at 1810 Chapel Avenue West in Cherry Hill, NJ.  This is the second of a 2008-2009 "Legally Speaking" series of free monthly seminars for entrepreneurs and start-up businesses.

Peter R. Spirgel, Flaster/Greenberg managing shareholder, and Markley S. Roderick, Flaster/Greenberg shareholder and chair of the Mergers and Acquisitions Practice Group, will present the seminar.  The program will address key issues such as how to raise and find money, what investors look for and how they take control of a company, what happens after a business is sold,  and the definitions of "drag along" rights and "come along" rights.  Additional discussion will cover the rules governing private offerings and the opportunities available to smaller companies looking to raise capital through a private offering of interests in the company.

Peter R. Spirgel has a general business practice with over 20 years of legal experience representing clients in: tax-free mergers; sales and acquisitions; documenting and mediating shareholder relationships; private security offerings for start-up ventures; and counseling privately-held businesses.  Markley S. Roderick represents start-up businesses, closely-held and emerging growth companies, and provides counsel in such areas as taxation, corporate and partnership law, business sales and acquisitions and venture capital.  He specializes in the representation of entrepreneurial, growth-oriented companies and their owners.

The series is co-sponsored by the Rutgers-Camden Business Incubator, Burlington County College High Technology Small Business Incubator and the Rutgers-Camden Small Business Development Center.  The next seminar, "A Survival Guide to Protecting a Good Name" will be held on Tuesday, January 13, 2009 from 11:30 a.m. to 2 p.m. in Flaster/Greenberg's Conference Center:
